We quickly learn the company, its target market and its market position to serve as an objective advisor to the highest level decision-makers. We focus on helping the company identify and understand risk at the enterprise, reputational, operational, competitive and new initiative levels, and on supporting senior management in developing risk management strategies and making prudent business decisions.
We work with the Chief Executive Officer/President to help translate the highest-level enterprise goals and challenges to the C-suite officers and their teams, and with a national network of specialized attorneys, accountants and auditors to achieve the company’s operating goals within enterprise constraints.
We support the Chief Financial Officer as a member of the audit committee, in establishing and maintaining internal controls and financial reporting consistent with audit, tax and financing requirements, in raising debt and equity capital, in placing credit facilities, in acquiring and leasing capital assets, and in building and managing teams of external professionals in multijurisdictional income, sales and property tax audits and audit dispute resolutions.
We work with the Chief Technology Officer to build teams of internal and external engineering and product development professionals, to develop, license and productize patent, trade secret, trademark and copyright portfolios, and to manage external patent prosecution attorneys to preserve trade secrets, create claims structures consistent with enterprise goals and build a published intellectual property portfolio across geographic boundaries.
We help the Chief Marketing and Sales Officer build and protect brand equity by creating trademark and service mark portfolios and managing enforcement procedures.
Supply Chain & Sales
We work with the Chief Operations Officer/Chief Supply Chain Management Officer to build supply chains, OEM relationships, product manufacturing capabilities, warehousing, sales and reseller networks, distribution channels and shipping logistics. We also help conduct domestic and international transactions, comply with customs regulations and resolve trade disputes.
We help the Chief Human Resource Officer recruit and engage executive and operating employees, secure independent contractors and place temporary workers. We evaluate and structure employee benefits, policies and procedures. We conduct internal investigations and support disciplinary proceedings, negotiate severances, and resolve EEOC claims and post-severance disputes.
We work with facilities and operating safety teams to establish and maintain a safe workplace, respond to OSHA inspections, and defend against OSHA citations ranging from unsafe conditions to workplace fatalities.
We work with facility environmental officers and environmental engineering firms to identify and mitigate environmental risk, investigate incidents, develop and implement compliance, remediation and inspection protocols, and manage enforcement defense litigation.
We conduct internal factual investigations and legal analysis to identify the scope and costs of actual, opportunity and reputational risks. We craft and implement litigation strategies, develop litigation budgets, engage in early settlement discussions and manage litigation counsel in complex federal court litigation. We bridge the gap between litigation counsel and senior management to enable the litigation team to understand the company and the company’s business practices in dispute, and to enable management to understand the nature and scope of the litigation so that they may make informed strategic decisions that increase the opportunity to negotiate an acceptable business solution.
